It also provides a collaborative basis through which certain key individuals are providing support, advice and action in furtherance of those Principles, by enabling the Conservation Commons Association to act effectively supported by the highest level of technical and practical understanding and expertise. WHEREAS the Conservation Commons is the expression of a cooperative effort of non-governmental organizations, international and multi-lateral organizations, governments, entities and individuals in the public, academic, and the private sectors, which is responding to global conservation challenges by seeking to improve access to and use of biodiversity data; WHEREAS the concept of a global Conservation Commons was formed through the individual and institutional commitment of a group of conservation and scientific organizations, who first met in 2004sought to address recognized barriers in access to essential data and information of importance for the conservation of biodiversity access barriers which represented an impediment to successful conservation efforts. WHEREAS mechanisms (including a set of principles and a website) and an organisation designed to give more concrete form to the Conservation Commons were developed and implemented through a collaboration of institutions seeking ways to collectively solve many of the access challenges individual organizations and institutions involved in biodiversity conservation deal with on a daily basis. WHEREAS the Conservation Commons is founded on three fundamental  HYPERLINK "http://www.conservationcommons.org/section.php?section=principle&sous-section=principle&langue=en" Principles, as set out in Article 3 below, which interested organizations and individuals are invited to review and formally endorse; WHEREAS the purpose of the Conservation Commons is to promote conscious, effective, and equitable sharing of knowledge resources to advance conservation; WHEREAS a number of non-governmental organizations, international and multi-lateral organizations, governments, academia, and representatives of the private sector most directly involved in promoting the objectives and Principles of the Conservation Commons are operating as a collective body towards achievement of these ends; WHEREAS collective operations of individuals and entities under the name of the Conservation Commons involve the commitment of time, funding and other resources, which should be based on a mutual assurance and a dependable, shared understanding regarding the aims, objectives and operations of the Conservation Commons. NOW, THEREFORE, the Charter Members of the Conservation Commons Association agree as follows: Objective The objectives of the Conservation Commons Association shall be as follows: To encourage and support the application of the Principles of the Conservation Commons, as set out in Article 3 of this Charter; To develop and authorise the use of the Conservation Commons logo and other designations and tools; To promote the development of protocols, systems, mechanisms, and processes to improve access to conservation-related data, information, and knowledge; To break down barriers currently preventing access to and open dissemination of such information/data/knowledge without harm to the rights of data developers and holders; Terminology For purposes of this Charter, unless specifically stated to the contrary, the following terms shall have the meanings herein set forth [NOTE: At present these are organised for ease of discussion. In the final draft, they will be presented in alphabetical order]: The Conservation Commons Association shall refer to the association being created under this Charter. Principles shall refer to the Principles of the Conservation Commons, as set forth in Article 3 of this Charter. [Membership-related terms] Charter Member shall refer to all organisations which shall be signatories of this Charter, and are thus members of the Conservation Commons Association on the date of its formal creation, as listed on Annex I to this Charter. The separate designation of Charter Members is intended only to clarify that the practices at the initiation of this Charter are in some ways different from the ongoing practices of Members and Steering Committee after the initial term of the Charter. Consequently, in a few instances, the obligations and rights of Charter Members during the initiation of this Charter, and in the first term of its operation are specified in Article 2 (part a and b). In all other respects Charter Members shall be considered as Association Members under this Charter. Association Member shall refer to any Charter Member or any other organisation which shall be added after the date of this Charter and given the rights, including the right to representation on the Steering Committee, that are accorded to all Members under Article 4.b of this Charter, so long as they continue to serve in that capacity. Steering Committee Member shall refer to the individuals which shall be or become members of the Steering Committee as described in Article 4.b.i, whether representing an Association Member, representing a Collaborating Organisation Member, or serving as an at large member of the Steering Committee. Collaborating Organisation Member shall refer to those entities and individuals who are accorded Collaborating Organisation status, as described in Article 4.b.iv. [Institutional Components] Association Members Committee shall refer to the entity whose decisions control and oversee the primary activities, responsibilities and existence of the Conservation Commons Association, as described in Article 4.a.iii.. Steering Committee shall refer to the entity whose decisions control the administration and organisational oversight of the Conservation Commons Association, as described in Article 4.b. Coordinator shall refer to the individual appointed to undertake the duties described in Article 4.c. Offices of the Conservation Commons Association shall refer to such offices as the Steering Committee shall designate pursuant to Article 5.a. Principles of the Conservation Commons The Conservation Commons Association and all activities undertaken pursuant to this Charter shall be based on the following Principles of the Conservation Commons: Principle 1 Open Access: The Conservation Commons promotes free and open access to data, information and knowledge for conservation purposes. Principle 2 Mutual Benefit: The Conservation Commons welcomes and encourages participants both to use resources and to contribute data, information and knowledge. Principle 3 Rights and Responsibilities: Contributors to the Conservation Commons have full right to attribution for any uses of their data, information, or knowledge, and the right to ensure that the original integrity of their contribution to the Commons is preserved. Users of the Conservation Commons are expected to comply, in good faith, with terms of uses specified by contributors and in accordance with these Principles. These  HYPERLINK "http://www.conservationcommons.org/section.php?section=principle&sous-section=principle&langue=en" Principles have been derived and adopted by the broad constituency of organisations participating in the Conservation Commons. It is still a goal of the Conservation Commons Association and this broader constituency that interested organizations and individuals are invited to review and formally endorse these principles. Oversight and Management The guidance and decision-making of the Conservation Commons Association shall be overseen by two institutions the Association Members Committee, the Steering Committee and the Coordinator. Association Members Committee The Conservation Commons Association is a small body whose members shall consist of the organisations which have institutionally agreed to participate in and support the work of the Conservation Commons through direct participation in the Conservation Commons Association. Membership in the Conservation Commons Association shall be determined solely in accordance with this part 4.a of this Charter. The Members shall provide the primary guidance and oversight of the Conservation Commons Association, both directly (through the Association Members Committee) and indirectly (through their appointment of representatives to the Steering Committee as described in Article 4.b, below.) Charter and Association Members Membership in the Association is qualitatively different from the participation in the Conservation Commons itself, or adherence to the Principles. Accordingly, the Members of the Conservation Commons Association shall include only the following: (1) Charter Members: The Charter Members of the Conservation Commons Association are listed in Annex 1 to this Charter. (2) Association Oversight Members: Association oversight members shall include Every Charter Member, until such time as it shall cease to be a member; Any other organisation which shall be granted membership in the Conservation Commons Association, by vote of the Association Members Committee, as described in Article 4.a.iii.(2). Any Association Member may terminate its membership by giving written notice to the Coordinator, who shall forward such notice to all other Association Members, and to the Steering Committee. Responsibilities of the Members Every Member of the Conservation Commons Association shall accept the following responsibilities: To participate in the decisions of the Association Members Committee, as set forth in Part 4.a.iii. to name a representative to the Steering Committee, and to duly authorise that persons participation, as a representative of the organisation, to the extent required under 4.b.. To inform the Conservation Commons Association concerning activities and concerns relevant to the Principles and Objectives of the Conservation Commons Association. Association Members Committee There shall be an Association Members Committee (AMC), which shall make all determinations regarding the existence, primary objectives, major plans, strategies, policies and commitments of the Conservation Commons Association. (1) Meetings The AMC of the Conservation Commons Association shall hold at least one meeting per year. The possible venues of the meeting may include a face-to-face meeting in a specific location, a telephonic conference, an electronic or mail meeting (in which items for the Members consideration are set forth in writing and circulated to members who shall be give a specified time (not less than 30 days) to respond or vote; and all responses from any Member shall be circulated to all members), or any combination of these options. The venue of the meeting shall be initially set by the Coordinator (4.c), and communicated to the Association Members at least 75 days before the date of such meeting. Any member may, within 30 days of receipt of such communication, challenge the choice of venue, in writing sent to all members. In the event of a challenge, the Members shall vote on the venue of the meeting, and such question shall be decided by a simple majority. The venue of the AMC Meeting may be set either directly before or directly after a meeting of the Steering Committee, if the Coordinator and Members agree. All documents and action items to be addressed in the meeting shall be provided to the Members not less than 15 days prior to the meeting. By unanimous agreement, the members may consent to consider later-submitted items, or to hold ad-hoc extraordinary meetings, where necessary to address matters of urgency. The AMC meetings may be attended, by invitation, by any other persons that the Association Members believe will contribute to their deliberations. Any Collaborating Organisation Member, as described in 4.b.iv, may be represented as a non-voting member in this Committee. The AMC shall, by consensus at its first meeting, adopt is rules of procedure that are consistent with this Charter. Any subsequent change in the rules of procedure shall occur by consensus. Unless otherwise specified in the rules of procedure, all decisions of the AMC shall be made by [consensus / majority vote / vote of not less than 66.6%] of the members present and voting in any meeting. For this purpose, a member shall not be deemed to be voting if he abstains from the vote in question. (2) Responsibilities The AMC shall have the following responsibilities: To review and approve or disapprove the annual report of the Coordinator and Steering Committee regarding the functional, substantive and institutional operations of the Conservation Commons Association; To review and decide all proposals or applications to admit an additional Association Member, on the basis of criteria which the AMC shall adopt. To identify and take action on fundamental issues of the Conservation Commons Association. For this purpose, a fundamental issue shall include: any item of business or discussion whose decision could result in one or more members being legally or financially responsible for actions, debts or other responsibilities of the Conservation Commons Association, any item of business or discussion which has been referred from the Steering Committee as having fundamental importance being a matter whose decision might affect the willingness of any Member to continue to serve as a Member of the Conservation Commons Association; any item of business or discussion which has been raised by any Member prior to or during the AMC meeting, as having fundamental importance (as described above); any proposal to change, terminate or replace this Charter, any proposal to change or replace the Principles, any proposal to create another body or committee under the Conservation Commons Association, or to alter the responsibilities of existing bodies described under this Article 4, any matter on which the Steering Committee is deadlocked. To adopt criteria and conditions of Association Membership. No Member shall be held responsible for any costs or commitments of the Conservation Commons Association, except with that Members consent, either individually or as part of a consensus decision of the Members. As to any fundamental issue the AMC shall have four options, to approve or reject the specific question, to determine that the matter is not fundamental and send it to the Steering Committee for decision, or to refer it to the Steering Committee with specific guidance. The Steering Committee There shall be a Steering Committee, which shall make all determinations regarding the operations, management, technical proposals and projects of the Conservation Commons Association. The Steering Committee shall be selected and authorised as follows: Initially, it shall be comprised of the Initial Steering Committee Members, who are listed in Annex 2 to this Charter; On or before 31 July 2008, and every four years thereafter (with the precise date to be set to enable the final approval of the Steering Committee to occur in the IUCN World Conservation Congress), the Steering Committees membership shall be appointed, reappointed or confirmed, as follows: Each Association Member shall designate in writing the name of one individual to serve on the Steering Committee, and every four years thereafter each Association Member shall be asked to reaffirm this appointment or to appoint a new member to the Steering Committee. That individual shall have two capacities. His general participation in the Steering Committee shall be undertaken in his individual capacity, subject to such guidance or advice from the Association Member as they shall deem appropriate. In addition, however, it shall be the responsibility of the Steering Committee Member who is appointed in this way to directly represent the Association Member, in determining whether a particular item of business before the Steering Committee is a fundamental matter, as set forth in 4.b.vi, below. [The Steering Committee / The Members Committee / Any Member] may designate At-Large Members of the Steering Committee. This category shall include any person listed on Annex 2 to this Charter, who is not affiliated with an Association Member, or who terminates his relationship with the Association Member that originally appointed him to the Steering Committee, and such other persons whose expertise, commitment and contribution are deemed to qualify such person for membership in the Steering Committee. At any given time, not more than 20% of the Steering Committee shall be comprised of at-large Members. Any Collaborating Organisations that shall be designated pursuant to paragraph 4.b.iv, may designate one representative who shall sit as a non-voting member of the Steering Committee; and The Coordinator, shall sit as an ex-officio member of the Steering Committee. Meetings of the Steering Committee may be attended, by invitation, by any other persons that the Steering Committee Members believe will contribute to their deliberations. Service of Members Nothing in this Charter shall prevent any person from serving multiple terms of office on the Steering Committee; In the designation of its future membership, the Steering Committee shall make every effort to reflect all factors relevant to oversight of the Conservation Commons Association, as they see fit, including all affected sectors, geographic, gender, ethnic and other balance. Each Steering Committee member shall hold this position, subject to this Charter until any of the following occurs His/her term expires, (subject to reappointment as set forth above); s/he withdraws from the Steering Committee, the Member that s/he represents withdraws from the , or s/he is removed in accordance with this Article; Any members of the Steering Committee may be removed for lack of participation or for failure to promote the objectives of this Charter or reasonably comply with or support the principles by vote of at least 75% of the other members of the Steering Committee. The removed Steering Committee member shall be replaced by a new member to be designated in accordance with clause 4.b.i. Collaborating Organisations (comprising any donors, sponsors, or entities providing support to the Conservation Commons Association, during the active time of that donation) shall designated by decision of the Steering Committee. Once designated, a Collaborating Organisation may designate one representative to sit as a non-voting member of the Steering Committee, for so long as the organisation qualifies as a Collaborating Organisation Member; The specific objectives of the Steering Committee shall be to carry forward the key areas of work/challenges that have been identified (and revisit these areas of work as necessary): Improving biodiversity data interoperability standards; Expanding open access publishing, and tackling the legacy issue in this area; Addressing legal, institutional, and ethical issues and barriers to access; Integrating biodiversity data into decision support systems and policy development. The duties of the Steering Committee shall be as follows: To hold in not less than 2 meeting[s] per year, with advance notice to all members of the Steering Committee, at which 60% of the members are present (voting) electronically or in person; To receive and approve the report of the Coordinator; To oversee any financial operations of the Conservation Commons Association, in accordance with this Charter; To budget and oversee management of any funds that are held or controlled by the Conservation Commons Association; To enunciate the plan, policy and other statements of the Conservation Commons; Oversee the work/performance of the coordinator; To identify and forward to the AMC any item of business or discussion which is or may be a fundamental issue. A matter shall be deemed to be a fundamental issue where any Steering Committee member feels that the decision of that issue might affect the willingness of any Member to continue to serve as a Member of the Conservation Commons Association. To take such other actions as are authorised under this Charter. Unless otherwise noted in this Charter, all decisions of the Steering Committee will be taken by consensus of the Steering Committee Members present and voting, to the extent possible, but if no consensus can be reached, then the matter shall be brought to a vote, and any decision may be adopted that is approved by at least 66% of the Steering Committee Members present and voting. In cases where a particular action must be taken without a meeting of the Steering Committee, the Coordinator shall circulate the question to all members, and shall tally responses that are personally received by him. All such issues shall be revisited at the next meeting of the Steering Committee. If any member of the Steering Committee deems that an item of business or discussion or other issue is or may be a fundamental issue as defined above, then the Steering Committee may not take action on that item until it has been considered by the Association Members Committee. The Steering Committee may also, in its discretion, advise or make recommendations to the AMC, as to any matters within the responsibility of that Committee, as set forth in 4.a.iii(2). Except as to matters specifically required under this in this Charter, the Steering Committee shall determine its rules of procedure by consensus of the members present at the time of adoption. Except where specifically agreed by the Steering Committee, no member or members of the Steering Committee may take independent action or decisions on behalf of the Conservation Commons Association (or expend funds of the Conservation Commons Association) without a meeting (electronic or otherwise) of the Steering Committee. Members of the Steering Committee shall serve in the capacity of representatives of their institutions. The Coordinator There shall be a designated individual who shall be Coordinator of the Conservation Commons Association. The Coordinator shall serve in his individual capacity, although he may be fully or partly seconded to this position by an organisation as part of its contribution to the Conservation Commons Association. The Coordinator shall be based at the Offices of the Conservation Commons Association, and shall take responsibility for the receipt of documents and notices, and maintenance of registration, as described in Article 5.a, or other formal or legal actions that may be required, as agreed by the Steering Committee. The Coordinator may, subject to funding and other constraints, hire other staff (full or part-time, permanent or under temporary contractual agreements.) All costs and responsibility with regard to such staffing shall be the responsibility of the Coordinator, unless the Steering committee shall specifically determine otherwise. The primary duties of the Coordinator shall also include the oversight and operations of activities undertaken by and for the Conservation Commons, including the activities of the Conservation Commons Association. To the extent of funding, staffing and capacity, the Coordinator shall undertake such other general operations and activities of the Conservation Commons Association as shall be authorised under this Charter or by decision of the Steering Committee. The affirmative responsibility of the Coordinator , or any organisation providing or sharing the Offices of the Conservation Commons Association, shall be limited to the extent of funding, staff and other resources expressly received or donated to the Conservation Commons Association by any source, including any budgeted funds provided by or through the Steering Committee. In the event that such funds or other resources are not available, the Coordinator or the organisation providing or sharing Offices shall bear no responsibility for failure to take actions that were authorised or approved by the Steering Committee to be funded by the Conservation Commons Association, with the following exceptions: Responsibility to either maintain or cancel (in the discretion of the Coordinator) all registrations or other legal status documents for the Conservation Commons Association, with formal notice to the Steering Committee; Responsibility to notify all individuals and entities in legal relationships with Offices of the Conservation Commons Association, with copies of such notification provided to the Steering Committee; Organisation of meetings of the Steering Committee and AMC (not including any responsibility for the costs incurred by attendees of those meetings.) Submission of a annual report to the AMC and such reports as may be needed by the Steering Committee. In both cases, reports shall include all actions taken since the last meeting, and all outstanding activities, issues or arrangements. Statements by or on Behalf of the Conservation Commons The Coordinator may develop and issue statements on behalf of the Conservation Commons, or the Conservation Commons Association, subject to the following limitations: Where possible, statements shall be pre-approved by the Steering Committee, pursuant to such rules as the Steering Committee may adopt; Unless completely within the principles and other approved statements, any new statements made without pre-approval shall be subsequently endorsed by members of the Conservation Commons, and shall be issued with the logos of such endorsers or other indication. No other person or entity may issue a statement on any issue on behalf of the Conservation Commons or Conservation Commons Association, without submitting to this process through the Coordinator, or obtaining direct approval from the Steering Committee. Operation of the Conservation Commons Association Offices The offices of the Conservation Commons Association shall be designated by the Steering Committee, and may be changed from time to time. The offices of the Conservation Commons Association shall be the physical office at which communication with the Conservation Commons Association shall be formally received, any registration or contracts undertaken in accordance with Article 5.b, in the name of the Conservation Commons Association. The initial offices of the Conservation Commons Association shall be IUCN-Canada Office 555 Ren-Lvesque Boulevard West, Suite 500 Montral, Qubec - Canada, H2Z 1B1 Phone: +1-514-287-9704 Fax: +1-514-287-9687 Financial Management The Coordinator, and any staff authorised by him to so act under his supervision and responsibility, may transact normal business operations on behalf of the Conservation Commons Association. All contracts and other commitments undertaken pursuant to this clause shall be subject to approval by the Steering Committee, either through an annual budget process, a general authorisation or a specific authorisation, as the Steering Committee shall determine. Where necessary, the Steering Committee may authorise the Coordinator to take actions that have not been previously authorised, subject to ratification at the next meeting of the Steering Committee. For these purposes, normal business shall include such matters as the Steering Committee shall agree. A report of normal business undertaken pursuant to this section in the inter-meeting period shall be provided to the Steering Committee at each meeting thereof. Any other activities, which are not deemed normal business operations shall be addressed under clause iii of this Article 5.b. Unless otherwise agreed and ratified by the Steering Committee, all funds and accounts managed by the Coordinator on behalf of the Conservation Commons Association, and the financial auditing of such funds or accounts, shall be undertaken or overseen using the financial system of the entity providing the offices for the Conservation Commons Association. Except as provided under clause i of this Article 5.b, no member of the Conservation Commons Association, nor the Coordinator, nor the Steering Committee, nor any other person may enter into any contract or other agreement or financial arrangement, in writing or orally, which is binding on the Conservation Commons Association or any other Member (in the capacity of Member) unless and to the specific extent otherwise agreed, or by the Steering Committee, in compliance with clause c, below. Activity Management Where any member of the Steering Committee, or the Coordinator, or any member from any other membership classification shall propose an activity, project, or other financial arrangement of the Conservation Commons Association, the following provisions shall apply. The proposal shall be submitted to the Steering Committee at its next available meeting, All proposals submitted by the Coordinator or a member of the Steering Committee shall be fully considered at the first meeting after submission. Proposals by other members shall be considered in the discretion of the Steering Committee. The Steering Committee shall approve, disapprove or seek more information on each proposal. Any proposal that is not approved may be withdrawn, and shall be considered the intellectual property of the member submitting the proposal. No action shall be taken in the name of the Conservation Commons Association, except in compliance with this Article 5.c. Nothing in this Charter shall limit the ability of any individual or organisation to take action or undertake projects or other financial arrangements and, if that person or organisation qualifies for use of the Conservation Commons logo, to affix the logo to documents or other expressions denoting that the activity is being undertaken by a Charter Member, Steering Committee member, or Collaborating Organization member of the Conservation Commons, or that the entity involved adheres to or approves the Principles of the Conservation Commons. Except as specifically agreed to the contrary under clause i of this Article 5.c any person or entity which takes action for or in the name of the Conservation Commons Association, shall bear all financial risk and shall be liable to the other parties for any financial or other impact of the activity on such parties. Unless otherwise authorised by the Steering Committee, all activities undertaken by, through or on behalf of the Conservation Commons Association shall be assigned to a particular responsible organisation or individual (either a member of the Steering Committee or the Coordinator), who shall be responsible to take all reasonable measures to complete the activity, and to ensure that no financial or other liability relating to that activity shall accrue to the Conservation Commons Association, without approval pursuant to this Article 5, or to any other Member without that members approval. All operations under this clause 5.c.ii shall be undertaken under the highest standards of financial accountability and ethical and operational responsibility. Notwithstanding any other provision of this Charter, all activities undertaken by, through or on behalf of the Conservation Commons Association shall be in furtherance of the objectives of this Charter and based on the Principles of the Conservation Commons. Property and Interests of the Conservation Commons The Conservation Commons Association shall not hold any tangible or intangible property except in compliance with this Article 5.d. Bank Accounts: In the discretion of the Steering Committee, the Conservation Commons Association may open one or more bank accounts through separate agreement with a cooperating institution which is legally capable to open a bank account in the jurisdiction, and shall be authorised, but not required to take measures necessary to enable a separate bank account, if the Steering Committee determines that such action will be necessary No such account shall be opened without the prior approval of the Steering Committee. All such accounts shall be managed or overseen by the Coordinator, and all financial transactions involving such accounts shall be reported to the Steering Committee at each meeting. Tangible Property: No tangible property shall be held by or in the name of the Conservation Commons Association or the Conservation Commons, without the specific approval of the Steering Committee, and subject to such conditions and requirements as it shall determine. Logo and other intangible Property: The Conservation Commons logo shall be the property of the Conservation Commons Association, and its use and the oversight of its use shall be determined by the Steering Committee. All steps reasonably necessary to protect this property from unapproved use or other abuses shall be taken by and in the discretion of the Steering Committee. Additional logos, labels, or other designations may be adopted and overseen by and in the discretion of the Steering Committee. The decision to develop other types of intangible property (including software and applications) or to accept donations of such property in the name of the Conservation Commons shall be subject to approval by and in the discretion of the Steering Committee. Amendment This Charter is intended to provide consistency and mutual agreement regarding the validity and procedures for decisions regarding the Conservation Commons and the operations, management, positions, properties and activities of the Conservation Commons Association. It may be amended or superseded by decision of a consensus of the Steering Committee, as set forth in Article 4.b. Termination This Charter shall only be terminated upon the occurrence of one of the following: A legal writ or other formal decision requiring termination; Complete inactivity of all parts of the Conservation Commons Association; Replacement of this Charter by a superseding instrument agreed pursuant to Article 6; A consensus decision of the Steering Committee. Upon termination, all outstanding funds, activities, and properties of the Conservation Commons Association, and all rights regarding the use of the name or descriptive term Conservation Commons shall be wound up. Unless otherwise provided, all remaining contributed funds for outstanding activities shall be returned to the donors or contributors as provided in their agreement, or on a pro-rata basis among all such contributors. Unless otherwise provided, all property contributed to the offices shall become the property of the organisation which has served as offices of the Conservation Commons Association. It has been revised to reflect that these institution are making a different kind of commitment than that which is made by the individuals who are participating in the Steering Committee. Since this Charter is intended as a legal document that protects and clarifies the interests of all. Current participation in the Steering Committee includes a variety of different approaches, ranging from institutions making public commitments to the Conservation Commons, to institutions whose only commitment is permitting an individual to participate.
